Collaboration and Partnership Terms & Conditions

1. Introduction

These Terms and Conditions govern all collaborations and partnerships between Skiaro and participating industries, universities, academic institutions, training organizations, and other strategic partners.

Skiaro operates as an industry-aligned platform focused on bridging the gap between academia and industry through structured training programs, expert-led sessions, collaborative initiatives, and career-oriented learning experiences.
By entering into a partnership with Skiaro, the collaborating entity agrees to comply with these Terms

2. Scope of Collaboration

All partnerships shall be based on mutual consent, defined scope of work, and agreed deliverables documented through formal communication or written agreement where applicable.

Partner institutions and organizations agree to uphold professional standards and cooperate in good faith to support the successful execution of collaborative programs.

The nature, structure, duration, and operational format of each collaboration may vary depending on program requirements, institutional capabilities, and industry relevance.

Skiaro reserves the right to design, modify, or enhance program frameworks to maintain alignment with evolving industry standards and workforce expectations.

3. Industry Expert Engagement Model

Industry expert training, mentorship sessions, workshops, or guest lectures shall be conducted based on the engagement model selected by the participating industry partner.

Skiaro does not mandate a uniform delivery structure across collaborators, and the format may differ depending on partner preferences and operational feasibility.

4. Outcomes and Expectations

Skiaro does not guarantee specific outcomes such as employment, internships, research opportunities, commercial benefits, admission growth, or revenue generation for partner institutions or organizations.

Both parties acknowledge that collaborative initiatives are intended to enhance learning, exposure, and industry readiness rather than assure measurable business or academic results.

5. Branding and Representation

Partners agree that any representation of the collaboration in marketing materials, public announcements, or promotional activities must be accurate and not misleading.

Prior approval may be required before using Skiro’s name, logo, brand assets, or association in external communications.

6. Intellectual Property

Each party retains ownership of its pre-existing intellectual property, including trademarks, training frameworks, proprietary methodologies, and branded materials.

Any shared resources shall be used strictly for the purpose of the collaboration unless otherwise agreed in writing. Unauthorized use of intellectual property may result in termination of the partnership and potential legal action.

7. Confidentiality

Confidential information exchanged during the course of the partnership shall be treated with reasonable care.

Such information shall not be disclosed to third parties without prior written consent unless required by law.

8. Compliance with Laws

Both parties agree to comply with all applicable laws, regulations, academic standards, and industry guidelines relevant to the collaboration.

Partners are responsible for ensuring that their internal policies and operational practices align with regulatory requirements.

9. Financial Arrangements

Financial terms, if applicable, including sponsorships, training fees, revenue-sharing models, or operational costs, shall be mutually agreed upon in advance.

Such arrangements will be documented separately and may form part of a formal agreement or Memorandum of Understanding.

10. Independent Relationship

Each party shall remain independently responsible for its employees, representatives, trainers, and operational personnel involved in the collaboration.

Nothing in this partnership shall be construed as creating an employer-employee relationship, joint venture, or legal agency unless explicitly stated in writing.

11. Limitation of Liability

Skiaro shall not be held liable for indirect, incidental, or consequential damages arising from partnership activities, including but not limited to reputational impact, business interruption, or anticipated commercial outcomes.

While Skiaro strives to ensure high-quality execution of collaborative initiatives, it does not warrant uninterrupted scheduling, participation levels, or program continuity where circumstances beyond reasonable control arise.

12. Modifications to Collaboration

Either party may propose modifications to the collaboration scope; however, such changes shall become effective only upon mutual written agreement.

13. Suspension and Termination

Skiaro reserves the right to suspend or terminate a partnership if the collaborating entity engages in unethical practices, misrepresentation, non-compliance with agreed standards, or activities that may harm Skiaro’s reputation or program integrity.

Either party may terminate the collaboration by providing reasonable prior written notice, subject to the completion of ongoing commitments unless otherwise mutually agreed.

14. Post-Termination Obligations

Upon termination, both parties agree to discontinue the use of each other’s branding, confidential materials, and proprietary information unless continued use is formally authorized.

15. Updates to Terms

Skiaro may update these Terms periodically to reflect operational, regulatory, or strategic changes.Continued participation in collaborative activities constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising in connection with the collaboration shall be subject to the jurisdiction of the courts located in Chennai, Tamilnadu or Mumbai, Maharashtra.

17. Acceptance

By entering into a collaboration with Skiaro, the partnering organization acknowledges that it has read, understood, and agreed to these Terms and Conditions in their entirety.
